Merge Gateway Launch Offer Terms

These Launch Offer Terms ("Offer Terms") are entered into between Merge API, Inc. ("Merge"), and the company or other legal entity on whose behalf you are accepting these terms, or, if you are an individual, yourself ("Customer," and referred to throughout these Offer Terms as "you" or "your"). These Offer Terms describe the promotional pricing and Promotional Credits (as defined below) available to Customers who create a Merge Gateway account during the Offer Period defined below. By activating a Merge Gateway account during the Offer Period, you represent that you have the authority to bind Customer to these Offer Terms, and that Customer agrees to be bound by them.

  1. Product Terms. Your use of Merge Gateway is governed by the applicable terms available at https://www.merge.dev/legal/gateway-terms (the “Applicable Terms”). These Offer Terms are supplemental to those terms and do not replace them.
  2. The Launch Offer. The "Launch Offer" includes both: (a) the promotional pricing on Merge Gateway routing fees during the Promotional Period (as defined below) ("Promotional Pricing") and (b) the Promotional Credits (as defined below) that qualifying Customers may earn.
  3. Promotional Pricing & Qualification.
    1. Promotional Pricing. Customers who activate a Merge Gateway account between May 26, 2026, and June 30, 2026 (the "Offer Period") by adding a bank account or credit card receive the following promotional pricing for 12 months from the date of activation (the "Promotional Period"). 
      1. Bank / ACH Payments. Merge will apply no margin or markup on Merge Gateway routing fees. Routing is fee-free for unlimited spend during the Promotional Period.
      2. Credit Card Payments. Merge will cover up to $100 per month in credit card processing fees on Merge Gateway routing fees, for a total of up to $1,200 in coverage over the Promotional Period. Routing fees incurred above the $100/month threshold are billed at Merge’s standard credit card processing rate (currently 3%). For the sake of example, at that 3% rate, $1,200 in coverage applies to approximately $40,000 in annual Merge Gateway spend, depending on transaction frequency.
    2. Renewal. The Launch Offer does not automatically renew. Your account will transition to Merge’s then-current standard pricing at the end of the Promotional Period.
    3. Qualification. The Launch Offer is available to customers who meet all of the following conditions:
      1. Sign-Up Timing. You must create your Merge Gateway account during the Offer Period.
      2. One Offer Per Company. The Launch Offer is limited to one account per company. If multiple users sign up using the same business email domain (e.g., name1@acme.com and name2@acme.com), those accounts will be associated and treated as a single offer-eligible account.
      3. Consumer-Domain Sign-Ups. Sign-ups using consumer email domains (including Gmail, Outlook, Yahoo, iCloud, Proton, or similar publicly available services) are each individually eligible for the Launch Offer. However, each such sign-up must complete phone number verification at account creation, and each verified phone number may only be associated with one offer-eligible account.
  4. Promotional Credits
    1. General.  In addition to Promotional Pricing, you may qualify for Promotional Credits. Promotional Credits may be combined with Promotional Pricing. "Promotional Credits" are non-transferable, non-refundable credits that may be applied to your Merge Gateway account to offset eligible charges, which may be issued via coupon code redemption or otherwise. Promotional Credits have no cash value, are not redeemable for cash, and, unless stated otherwise, expire 12 months from issuance. Unused Promotional Credits are forfeited upon account closure or termination.
    2. VC/PE-Backed Startup Credit. If your company is backed by a venture or private equity investor on Merge’s verified partner list, and your account reaches $1,000 in cumulative Merge Gateway spend within 60 days of activation, you will receive an additional $1,000 in Promotional Credits. To verify whether your investor is on Merge’s partner list, contact support@merge.dev.
    3. Event Coupon Credit. If you receive a coupon code at a Merge-sponsored event during the Offer Period, you may redeem the code in the Merge dashboard for a one-time $100 Promotional Credit. Such coupon codes expire 90 days from issuance. Each account is limited to one coupon code redemption.
    4. Referral Credit. You may refer other developers to Merge Gateway using the referral flow in your dashboard. If a referred user signs up and reaches the qualifying spend threshold described in the referral interface, both you and the referred user will each receive a $50 Promotional Credit. Limits apply per referrer as described in the referral interface.
  5. Restrictions. The Launch Offer may not be sold, assigned, or otherwise conveyed to a third party. The Launch Offer may not be combined with other Merge promotional offers except as expressly set out in Section 4 above. Standard usage limits under the Applicable Terms apply. Merge reserves the right to modify or discontinue the Launch Offer at any time upon reasonable advance notice to Customers. Merge reserves the right to revoke any Promotional Pricing and recover any Promotional Credits in cases of fraud, abuse, or material violation of these Offer Terms or the Applicable Terms.
  6. Updates to These Terms. Merge may update these Offer Terms from time to time. Material changes will be communicated to Customers before they take effect. Your continued use of Merge Gateway after receiving notice of a material change constitutes your acceptance of the updated Offer Terms.
  7. Limitation of Liability. Nothing in these Offer Terms limits any rights you may have under applicable law that cannot be waived by contract. To the fullest extent permitted by applicable law, Merge’s total aggregate liability arising out of or relating to these Offer Terms is limited to $1,000 USD.
  8. Governing Law and Jurisdiction. These Offer Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute arising out of or relating to these Offer Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.
